Position Overview

PIMCO is seeking a highly skilled and motivated Senior Vice President, Senior Counsel - Registered Funds to join our high-performing Legal team. In this role, you will provide strategic legal support across PIMCO's U.S. registered funds platform, including mutual funds, ETFs, closed-end funds, and collective investment trusts, with a particular focus on the Investment Company Act of 1940, fund governance, disclosure, and regulatory compliance.

You will advise on a broad range of registered fund matters, including fund operations, product development, Board governance, SEC filings, and distribution arrangements, while partnering closely with stakeholders across the Funds Business Group, Compliance, Product Strategy, Operations, and Global Wealth Management. The role also includes preparing and reviewing Board materials, supporting trustee interactions, and providing practical, business-focused guidance on complex legal and regulatory issues.

This is an excellent opportunity for an experienced 40 Act attorney to play a visible role within a leading global investment manager and help shape the continued growth and evolution of PIMCO's registered funds platform.

Key Responsibilities

  • Provide legal support for PIMCO's U.S. registered funds and collective investment trusts, ensuring compliance with the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and related SEC rules and regulations.

  • Advise on the development, launch, restructuring, operation, and ongoing maintenance of mutual funds, ETFs, and closed-end funds.

  • Review and support the preparation of registration statements, prospectuses, statements of additional information, shareholder reports, proxy materials, SEC filings, and other fund disclosure documents.

  • Draft, review, and negotiate a broad range of agreements related to fund distribution, operations, platform onboarding, and service provider engagements, including intermediary agreements, fund participation agreements, ETF authorized participant agreements, and vendor contracts.

  • Advise internal partners on complex legal, regulatory, governance, disclosure, and structural considerations impacting registered fund operations and compliance.

  • Prepare and review Board and committee materials, support Trustee and Director meetings, and advise on governance matters requiring Board review and approval.

  • Monitor regulatory developments affecting registered funds and provide practical guidance regarding implementation and business impact.

  • Identify, assess, and address legal and regulatory risks, exercising sound judgment and providing pragmatic, solutions-oriented advice.

  • Collaborate cross-functionally to support new product launches, operational changes, strategic initiatives, and evolving business objectives.

  • Serve as a senior member of the Legal team, contributing to knowledge-sharing, mentoring, and the continuous improvement of legal processes and practices.

Qualifications & Professional Skills

  • Juris Doctor (J.D.) from a leading law school with strong academic credentials.

  • Approximately 10+ years of relevant experience supporting U.S. registered investment companies, ideally gained at a top-tier law firm and/or in-house at a leading asset manager, mutual fund complex, ETF sponsor, or financial institution.

  • Deep expertise in the Investment Company Act of 1940 and the legal and regulatory framework governing registered investment companies.

  • Significant experience supporting mutual funds, ETFs, and closed-end funds, including governance, disclosure, compliance, and operational matters.

  • Experience reviewing and advising on registration statements, prospectus disclosure, shareholder communications, SEC filings, and Board materials.

  • Active Bar membership in any U.S. state.

  • Strong knowledge of the Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and related regulatory requirements affecting registered funds.

  • Experience advising fund Boards and supporting governance processes involving independent trustees/directors is strongly preferred.

  • Sharp analytical thinker with the ability to interpret complex legal and regulatory issues and develop thoughtful, commercially focused solutions.

  • Demonstrated integrity, sound judgment, and the ability to manage sensitive matters with discretion and professionalism.

  • Self-starter with strong ownership and accountability, capable of managing multiple priorities in a fast-paced environment.

  • Exceptional communication and stakeholder management skills, with the ability to distill complex legal concepts and influence senior stakeholders with clarity and confidence.

  • Highly organized and collaborative team player, comfortable partnering with colleagues at all levels across Legal and the broader business.

PIMCO follows a total compensation approach when rewarding employees which includes a base salary and a discretionary bonus. Base salary is the fixed component of compensation that is determined by core job responsibilities, relevant experience, internal level, and market factors. The discretionary bonus is used to award performance and therefore is determined by company, business, team, and individual performance.
Salary Range: $ 265,000.00 - $ 305,000.00
