You are:



A Senior Commercial Council with Information Technology deep domain expertise, who can draft, review, negotiate, and close client-facing, complex IT contracts. You will lead, manage, review, and negotiate all UST contracts globally in support of new and existing business, including vendor agreements pursuant to client agreements

The Opportunity:



  • Draft, edit, and negotiate contracts with customers, suppliers, and others who desire to contract with the Company obtain feedback on draft agreements from stakeholders and provide consolidated comments to the relevant stakeholders, including, but not limited to agreements for participation in UST's networks for health information messaging and connectivity, data use agreements, technology licensing agreements, and contracts with vendors supplying services or equipment to UST
  • Provide and/or ensure accurate, relevant and timely advice to different stakeholders and other members of staff on a variety of legal topics that relate to the business sector and their products or services.
  • Work closely with, and provide legal advice to, teams within UST responsible for the products/services requiring contracts or other documentation for delivery.
  • Responsible for ensuring all relevant facts and legal considerations are assembled, assessed and accurate before contracts are presented for execution as it relates to all business transactions.
  • May oversee and/or evaluate and advise appropriate legal courses of action to meet UST and other stakeholders' needs as directed by the reporting attorney.
  • Analyze complex legal issues, conduct legal research work and draft summary reports.
  • Draft, review and revise legal plans in response to changing needs of the organization, laws and government policies.
  • Oversee activities of project personnel to ensure the project progresses on schedule to and within prescribed budget.
  • Manage a workload that is large, diverse, and complex with minimal direct supervision or direction.
  • Review legal advice provided by other legal professionals and oversee responses to RFPs/RFIs as they come in.
  • Develop and maintain an effective line of communication with other departments that we work closely with.
  • Communicate with and managing any third-party bodies such as external counsel, external procurement personnel or auditors.
  • Ability to take ownership and think critically about assignments, identify, assign, and prioritize workloads, and manage multiple priorities, tasks simultaneously and meet tight deadlines


What you need:



  • At least 8 years at a law firm or with a corporate department and significant experience in technology and professional services contracts drafting, reviewing, and negotiating contracts from inception through execution
  • Juris Doctor Degree (JD) from an accredited law school
  • Active US bar membership in any state.
  • Excellent computer skills, MS Office Suite, Adobe Acrobat Professional
  • Client-facing experience and negotiation skills
  • Orientation towards achieving results and objectives
  • Demonstrates ability to effectively manage a workload that is large, diverse, and complex with minimal direct supervision or direction
  • Demonstrates and leads strict process discipline and adhere to deadlines
  • Experience with CLM platforms and AI-enabled legal tools
  • Strong contract drafting and negotiation skills
  • Ability to provide clear, actionable, business-oriented advice
  • Proven capability to manage high-volume, complex workloads independently
  • Ability to effectively communicate and collaborate with all stakeholders and leadership on a variety matters.
  • Ability to work in a fast-paced environment and meet tight deadlines
  • Ability to problem-solve, in real time, to address business' needs while addressing legal and regulatory constraints
  • Advanced understanding of business principles and functions across the global marketplace
  • Willingness to accommodate, both internal and external, clients in multiple time zones

Compensation can differ depending on factors including but not limited to the specific office location, role, skill set, education, and level of experience. UST provides a reasonable range of compensation for roles that may be hired in various U.S. markets as set forth below.

Role Location: Remote (East Coast Preferred)

Compensation Range: $176,000-264,000

Benefits

Full-time, regular employees accrue a minimum of 10 days of paid vacation per year, receive 6 days of paid sick leave each year (pro-rated for new hires throughout the year), 10 paid holidays, and are eligible for paid bereavement leave and jury duty. They are eligible to participate in the Company's 401(k) Retirement Plan with employer matching. They and their dependents residing in the US are eligible for medical, dental, and vision insurance, as well as the following Company-paid Employee Only benefits: basic life insurance, accidental death and disability insurance, and short- and long-term disability benefits. Regular employees may purchase additional voluntary short-term disability benefits, and participate in a Health Savings Account (HSA) as well as a Flexible Spending Account (FSA) for healthcare, dependent child care, and/or commuting expenses as allowable under IRS guidelines. Benefits offerings vary in Puerto Rico.

Part-time employees receive 6 days of paid sick leave each year (pro-rated for new hires throughout the year) and are eligible to participate in the Company's 401(k) Retirement Plan with employer matching.

Full-time temporary employees receive 6 days of paid sick leave each year (pro-rated for new hires throughout the year) and are eligible to participate in the Company's 401(k) program with employer matching. They and their dependents residing in the US are eligible for medical, dental, and vision insurance.

Part-time temporary employees receive 6 days of paid sick leave each year (pro-rated for new hires throughout the year).

All US employees who work in a state or locality with more generous paid sick leave benefits than specified here will receive the benefit of those sick leave laws.
