Stinson LLP seeks an Attorney in our Minneapolis, MN office in the Corporate Finance division. The Attorney represents and counsels clients, drafts documents, and conducts legal research in corporate finance legal matters. The specific duties include:
We require a Juris Doctor (J.D.) degree from an ABA-accredited law school in the United States and an active license to practice law in Minnesota. The position also requires two years of legal experience in advising businesses on legal matters regarding formation of business entities, mergers, acquisitions, joint ventures, public company SEC regulatory compliance, corporate governance issues, tax issues, and drafting documentation including: preparation of a variety of business agreements such as merger agreements, stock sales, stock purchases, venture capital financings and related documentation, shareholders', employment and non-competition agreements, stock option plans, and documents for a variety of corporate transactions including complex security and debt documents with related registration rights. Associate compensation structure has two components: (1) a base salary (based on an 1850 billable hour target) and (2) a discretionary merit bonus based on performance. The salary range for this role is $195,000 - $235,000. The salary range for this position is based on a variety of factors, including experience, skills, qualifications, and location. The range is provided as an initial approximation at the time of posting and may vary based on the individual's unique qualifications and experience.
