Job Description:

The Contracts Administrator, Paralegal works with the Contracts Counsel to review, approve and administer firm contracts, including vendor and client contracts, consistent with firm requirements and prudent risk management. This role primarily supports the firm's internal business and operations teams, including procurement, marketing and business development, finance, and HR. This role will work with the Contracts Counsel to develop and maintain contract review playbooks, templates and repositories. This role will also support innovation in contracts administration through the use of emerging technologies, including Artificial Intelligence. This position also supports business development workstreams and compliance with client requirements. This position reports to the Compliance Counsel in the Office of General Counsel.

Location: Boston, MA

  • Assist with developing firm-approved standard terms and requirements for firm contracts. Maintain contract review and negotiation playbooks, contract review workflow processes.
  • Review vendor and client contracts and related documents (e.g., data processing addenda, codes of conduct) against firm requirements/playbook standards and work with the Contracts Counsel to propose revisions as necessary.
  • Work with the Contracts Counsel and internal clients to set priorities and timelines for managing multiple contracts review projects at the same time. Track and monitor contract workflows.
  • Improve contract management practices, including retention and tracking of contract terms.
  • Assist with providing training and guidance to internal business and operations teams on contract policies and procedures.
  • Assist the Compliance Counsel and the General Counsel in other projects.
  • Perform other duties as assigned.

Job Requirements:
  • 4-6 years of paralegal experience including using playbooks and legal drafting and review standards to review and revise commercial contracts, including vendor/supplier and professional services contracts.
  • Bachelor's Degree required. Work experience in lieu of a degree will be considered.
  • Strong contract drafting and redlining skills with a commercially pragmatic, business-oriented approach
  • Ability to work timely, responsively, and with minimal supervision to manage multiple matters and deadlines and proactively communicate and collaborate with internal clients and colleagues
  • Demonstrated experience exercising sound judgment in escalating issues and matters where appropriate
  • Strong written and verbal communication
  • Familiarity with contract lifecycle management (CLM) tools and artificial intelligence tools for contract review and workflow efficiency is a plus
  • Demonstrated commitment to continual improvement and learning
  • Experience working with NetDocs, Harvey, Smartsheets a plus
  • Experience utilizing AI in a business setting

In accordance with applicable Federal and State laws, the anticipated annual salary range for this position, depending on location, is as follows: Boston, MA: $70,000 to $100,100.

In addition to a standard benefits package, this role may be eligible for additional contingent compensation based on an array of factors, including but not limited to: work performance, geographic location, work experience, education, and qualifications. Because such contingent compensation is not yet calculable or may be zero ($0) in some circumstances, the above-listed salary range(s) are Nixon Peabody's good faith estimate of the annual salary(ies) it reasonably expects to pay for the position at the time of this posting.
