Job Description
General Purpose of Job: To support the Office of the Vice President and General Counsel (OGC) in drafting, reviewing, and negotiatingcontracts. This position functions as an integral part of the Regional OGC team and job responsibilities includesupporting other projects for the Region. Essential Duties
- Draft contracts and other legal documents such as service agreements, confidentiality agreements, businessassociate agreements, data use/sharing agreements, professional services agreement, academic affiliationagreements, amendments, and termination letters.
- Review contracts and identify potential legal risks.
- Edit and revise contract language to align with organizational policies and legal standards.
- Communicate with internal stakeholders to gather information and clarify contract terms.
- Coordinate with external parties to negotiate the contract terms.
- Work with attorneys within OGC on contract matters that require escalation.
- Work with attorneys on contract matters that involve health care regulatory risks
- Prepare signature packets and coordinate execution of contracts.
- Monitor contract obligations and deadlines utilizing contract lifecycle management tool.
- Other duties as assigned.

* Bachelor's degree in Paralegal, Business or comparable degree and a minimum of 4 years of paralegal and/or contract management experience OR Associate Degree in Paralegal, Business, or comparable degree and a minimum of 6 years of paralegal and/or contract management experience; OR high school diploma and a minimum of 8 years of paralegal and/or contract management experience. * Paralegal and/or contract management in healthcare (Preferred). |
| Specialized Knowledge and Skills |
* Knowledge of regulations relevant to healthcare operations (Preferred). * Knowledge of Stark and Anti-kickback laws (Preferred). * Integrity and a strong moral and ethical compass. * Experience with first review and triage of contracts. * Experience developing or maintaining contract templates. * Ability to work independently with minimal supervision while maintaining high level, quality work and output. * Ability to work in a fast-paced, dynamic, results-oriented team environment. * Proven track record of project completions on time and within budget or other constraints. * History of quality attention to detail. * High level of organizational skills and detail oriented. * Possesses excellent interpersonal, influencing and collaboration skills. Ability to present results/solutions to internal and external customers regardless of their level within their organization or discipline. * Ability to maintain confidentiality. * Experience with analyzing and identifying the strengths and weaknesses of options and exercising critical thinking, problem solving, and judgment skills. * Customer or client service within a corporate environment. * Proficient in utilizing personal computers and related software including Microsoft Office Suite, Contract Lifecycle Management software, LexisNexis or Westlaw legal research tools, and other office departmental specific software and internet. |
