Reporting to the Head of Global Technology Sourcing & VMO, the Senior Manager, Technology Sourcing & VMO - Mergers, Acquisitions, and Divestitures (MA&D) will act as the point of contact for all information technology sourcing and vendor management activities related to Merger, Acquisition & Divestiture initiatives. This critical role will focus on identifying synergies with acquisition targets, providing clear risk assessments, and ensuring seamless contractual transitions during mergers, acquisitions, and divestitures. The Senior Manager will work collaboratively with a wide range of stakeholders, including Global Sourcing leadership, legal teams, the Corporate Strategy and Development team, and external partners. This role is essential to ensuring operational efficiency, alignment with organizational goals, and the successful execution of multiple simultaneous deals.

Responsibilities

  • Serve as the primary point of contact for technology sourcing and vendor managementactivities during all phases of the MA&D lifecycle, from due diligence to post-acquisitionintegration.

  • Collaborate with internal stakeholders to identify synergies with acquisition targets andprovide clear direction on potential risks and opportunities.

  • Conduct detailed reviews of all technology contracts, ensuring alignment withorganizational objectives and compliance with legal and regulatory requirements.

  • Assist in drafting and negotiating Transition Service Agreements (TSAs) to ensure asmooth transition of technology services during the divestiture or acquisition process.

  • Oversee the migration of all contractual relationships to the buyer, ensuring accuracy andcompleteness during the transition process.

  • Lead and manage multiple MA&D deals simultaneously, maintaining a focus on detail,timelines, and deliverables.

  • Build and maintain strong relationships with internal stakeholders, external vendors, andpartners to foster collaboration and alignment across functions.

  • Leverage a deep understanding of technology contracts, including software, hardware,cloud, services, and telecom, to provide strategic insights and ensure optimal outcomes.

  • Develop and implement strategies that align with the organization's procurement policiesand long-term goals, including sustainability and cost efficiency.

  • Provide regular updates to senior leadership on MA&D activities, including progress,challenges, and opportunities for improvement.

  • Act as a self-starter, taking initiative in a dynamic environment where priorities may shiftrapidly.

  • Support the negotiation of contracts and sourcing relationships to ensure alignment withstrategic objectives.

  • Analyze spend data to identify cost-saving opportunities and drive efficiency inprocurement operations.

  • Maintain a comprehensive understanding of market trends, emerging technologies, andvendor capabilities to inform strategic decision-making.

  • Ensure that all post-acquisition integration activities are executed effectively, includingvendor onboarding, contract management, and operational efficiency improvements.

  • Assist with other sourcing tasks as requested

Education and Work Experience

Bachelor's degree in business, technology, or a related field; advanced degree orprofessional certifications (e.g., CPM, CPSM) preferred. Normally requires a minimum of eight (8) years related and progressively responsible experience in IT buying, purchasing, vendor management, or finance.

Skills and Knowledge

  • Proven experience in technology sourcing, vendor management, and procurement,preferably within the context of mergers, acquisitions, and divestitures.

  • Strong knowledge of technology contracts, including software, hardware, cloud, services,and telecom.

  • Exceptional multitasking skills with the ability to manage multiple deals and prioritiessimultaneously.

  • Detail-oriented with a focus on accuracy and thoroughness in all aspects of the role.

  • Self-starter with the ability to work independently and proactively address challenges.

  • Demonstrated ability to build and maintain strong relationships with internal and externalstakeholders.

  • Strong analytical skills and the ability to leverage data-driven insights to inform decision-making.

  • Excellent communication and presentation skills, with the ability to convey complexconcepts clearly and effectively.

  • Familiarity with drafting and negotiating Transition Service Agreements (TSAs) is highlydesirable.

  • Deep understanding of the sourcing process and procurement best practices.

*This Salary Range reflects a National Average for this job. The actual range may vary based on your locale. Ranges in Colorado/California/Washington/New York/Hawaii/Vermont/Minnesota/Massachusetts/Illinois State-specific locations may be up to 10% lower than the minimum salary range, and 12% higher than the maximum salary range.
