Assistant General Counsel

About the Role:

We are seeking a versatile Assistant General Counsel who will serve as a key member of our legal team. The ideal candidate will be a corporate generalist attorney with expertise in supporting various legal functions, including commercial transactions, corporate securities, compliance programs, and litigation. Reporting to the Deputy General Counsel, this role will provide responsive and effective legal counsel to colleagues across business units. The successful candidate will demonstrate strong capabilities in anticipating legal issues, resolving sensitive topics diplomatically, and working both independently and collaboratively within a dynamic environment.

Essential Job Responsibilities:

  • Draft, review, and negotiate a diverse range of commercial contracts with clients and vendors, including master service agreements, NDAs, and strategic sourcing agreements.
  • Provide support for SEC reporting requirements, manage corporate records, and assist with general corporate governance matters.
  • Assist with mergers and acquisitions, joint ventures, and other growth-oriented transactions.
  • Collaborate with various departments including accounting, finance, tax, treasury, investor relations, communications, and HR to provide legal advice and guidance on various matters and potential disputes.
  • Handle demand letters, conduct related investigations, draft litigation hold letters, assist with HR complaints and lawsuits, manage litigation with outside counsel, and actively participate in depositions, settlement conferences, and mediation.
  • Evaluate and address compliance needs, identify legal issues and risks, and support legal compliance across the company's operations.

Qualifications:

  • Juris Doctorate from an ABA-accredited law school and licensed to practice law in at least one state.
  • 3 to 4 years of legal practice, preferably in a reputable law firm, with experience in corporate transactional practice, commercial transactions, contract drafting, SEC reporting requirements, and corporate compliance.
  • Strong work ethic with the ability to handle multiple tasks concurrently under deadline pressure.
  • Exceptional integrity, sound business judgment, clear communication skills, and strategic thinking.
  • Ability to work effectively both independently and collaboratively in a dynamic, multicultural organization.
  • Superior verbal, written, and interpersonal communication skills with exceptional attention to detail.
  • Competency in drafting and negotiating a broad range of contracts with a willingness to learn and adapt to new areas of law.
  • Proficiency in word processing, spreadsheet, database, and communication software applications.
  • Executive presence with the ability to quickly earn respect and trust from team members and business units.
  • Ability to work in an office setting with occasional travel as required.
