Chapman and Cutler LLP is seeking to hire an entry-level Associate to join our San Francisco office. This is an excellent opportunity to join a finance-focused firm that consistently develops innovative and practical legal solutions for complex financial transactions.

The successful candidate will have excellent academic credentials, an interest in transactional practice and client service aptitude. A background in finance, accounting or economics is helpful but not required. Law school classes such as Secured Transactions, Securities Regulation, Business Organizations, Energy, Banking, Tax and/or the UCC are also useful in this position.

Examples of specific job tasks and responsibilities include:

* Practice law at the appropriate level for seniority and experience as it relates to the subject areas of the Practice Group to which you are assigned. This includes the ability to:

  • conduct legal, industry, and market specific research,
  • conduct due diligence for transactions,
  • write legal memoranda,
  • draft transaction documents, which may include, but are not limited to, credit agreements, securities offering documents, trust indentures, UCC forms, tax forms, certificates, closing documents and other transaction-related agreements,
  • draft and respond to client and transaction team inquiries and questions,
  • understand and advise clients on transaction-specific issues, such as structuring, negotiating, and documenting transactions,
  • advise clients on legal matters involved in lending, credit and equity financing and re-financing transactions including loans, leasing, bank regulatory, municipal bond, private placements, and/or fund formation and related securities, tax, bankruptcy, disclosure, real estate and other legal compliance and regulatory matters,
  • negotiate transaction terms,
  • provide support and advice to clients, where appropriate, on post-closing matters and ongoing compliance,
  • understand and manage securities, tax, UCC or other transaction-related filings, and
  • participate in transaction closing tasks and processes.

* Provide exceptional client service.

* Function effectively in a fast-paced and stressful environment.

* Possess the organizational and prioritization skills required to manage complex, deadline-driven, and novel legal work.

In addition to excellent academic credentials, the candidate should also possess strong interpersonal, analytical, oral communication, research, and writing, editing, and proofreading, and organizational skills and an interest in business, industry and market issues. The successful candidate will be available to work during non-standard work hours and work long hours when necessary.

In accordance with the California Pay Transparency Law, the expected salary for this California position is $225,000.
