Position Summary

Oceaneering is looking for a strong candidate to be part of an exciting opportunity to support a major Department of Defense acquisition(s) with the skills to perform at a high level to be successful in the execution of Subcontract agreements and management of performance throughout the Subcontract Management life cycle.

The Subcontract Manager is responsible for the full life cycle of Subcontract Management to include: pre-proposal, proposal, execution, and closeout activities. For the execution of those responsibilities the Subcontract Manager is expected to effectively collaborate with the Program or Subcontract Program Manager to develop Subcontractor Request for Proposals including the appropriate terms and conditions and flowdowns, Statements of Work, internal negotiation targets, lead negotiations including price, schedule and terms and conditions within the established targets, identify potential business risks, and execute subcontracts, modifications, and perform change management in compliance with company policies and procedures.

Duties & Responsibilities

* Assimilate with the organization to include building strong relationships with functional peers in, Contracts, Supply Chain, Program Management, Financial Management, and other internal stakeholders and customers.

* Act as a subject matter expert in the field of Subcontracts, provide guidance and support to program teams in all matters of subcontracts and subcontractor performance, and collaborate/ coordinate with the Program or Subcontracts Program Manager, Contracts and with other functional areas to manage subcontractors ensure effective team execution.

* Establish strong relationships with Subcontractors to effectively negotiate Subcontract agreements, ensure compliance, track performance within cost and schedule, including the management of changes and change proposals, track deliverables, and provide concise and timely communications.

* Assist program teams in developing effective subcontractor strategies to include: identifying potential subcontractors, developing clear/concise proposal requirements and statements of work; understanding subcontractor budgeted dollars and hours; flowing down appropriate terms and conditions in compliance with mandatory flow downs, or terms required for effective program and risk management, negotiating all aspects of major subcontracts that will support prime contract requirements and business goals.

* Review and understand the requirements of a higher-tier contract and Statement of Work (SOW) to translate and flow down requirements as applicable into the subcontract agreement working closely with the Program or Subcontract Program Manager and Contracts, or other functional areas as required.

* Be adept at drafting terms and conditions, reviewing and resolving redlines, and negotiating subcontracts in compliance with company policy and procedure.

* Collaborate with and ensure legal review and concurrence with draft and negotiated subcontract agreements.

* Draft, redline and negotiate Proprietary Information Exchange Agreements (PIEAs) and Teaming Agreements as required and within company policies and procedures.

* Coordinate all reviews for approval and signature of subcontract agreements and actions in accordance with company policy and procedure.

* Establish and lead major subcontract proposal evaluation teams and proposal evaluation efforts including commercial product and commercial service (formerly commercial item) determinations, performing vetting of new subcontractors, performing cost analysis and price analysis, negotiating cost savings and performing Truthful Cost or Pricing Data (formerly Truth in Negotiations Act) "sweeps" when required.

* Execute all responsibilities in accordance with the Procurement Manual and Purchasing System, create and maintain files in accordance with same, and coordinate with Supply Chain as required.

* Stay abreast of evolving regulations and compliance requirements and proactively make recommendations for updates to the manual and system.

* Collaborate with Supply Chain as needed to assist with updating or creating processes, maintaining standard forms and templates, and providing training.

* Support audits related to subcontract activity to include CPSR, ISO, Internal Compliance, External Financial and Compliance.

* Identify and implement best practices for major subcontract management that will scale with growing organization; ultimately develop a major subcontracts team.

* Manage multiple priorities with several internal program teams.

* Lead special projects as assigned.

Qualifications

REQUIRED

* BS or BA required.

* 12+ years of experience in Government Subcontracts focused on supporting DoD and other federal agencies.

* Experience leading subcontract proposals.

* Experience in administering various types of major subcontracts (CPFF/CPIF/CPAF/FFP/T&M, single award and multi-award IDIQs).

* Demonstrated expertise with the Federal Acquisition Regulation (FAR) and DFAR, and as they relate to subcontracting.

* CPSR audit experience including ensuring a compliant system and supporting internal audit and Government audit.

* Direct experience drafting and negotiating Subcontract Agreements, Proprietary Information Exchange Agreements, and Teaming Agreements to support strategic objectives, increased win probability, and performance against obligations.

* Operates with integrity, highly collaborative, inspires team to be curious, accountable and outperform expectations.

* Creative thinker and excellent problem solving skills.

* Excellent written and verbal communication skills, ability to foster strong subcontractor relations, attention to detail and accuracy, excellent organizational skills, and the ability to work as part of a team and provide concise and accurate communications to management.

* Be flexible.

* Candidate will have to perform in an ISO-9000 rated company in a rapidly changing and demanding atmosphere.

* Ability to obtain TS/SCI clearance.

DESIRED

* Master's Degree or Juris Doctor.

* CPCM, or other related certification.

* Commercial Subcontracts experience.

* Significant DoD Company experience.

* Experience leading a team/managing others.

* Experience with Deltek CostPoint.

Additional Information

This position is Hybrid - Remote and will require commuting to a designated office. Hybrid work schedules are determined by the hiring manager based on business need.

We offer a comprehensive and competitive benefits package. The Annualized pay rate for this position is $154,500 to $195,500.
